Specification before price

Almost every commodity dispute traces back to an underspecified enquiry. A purchase described as "HCl acid, 1000 MT" invites offers on different concentrations, inhibitor packages and packing, none of which are comparable. The enquiry has to fix grade, concentration, impurity limits, test method, packing, origin and inspection regime before a price means anything.

Establishing a defensible price reference

Buyers without a market reference negotiate against the supplier's anchor. Contracting so a quality dispute is resolvable

The clause that decides a quality dispute is the inspection clause: who inspects, where, against which test method, and whose certificate is final. Contract for base-load consumables where consumption is predictable and continuity of supply matters; spot for campaign-specific volumes. A blended position with a contracted floor volume and spot top-up usually prices better than either extreme.
How do we protect against price movement on a long lead item?
Either fix the price with a firm validity and an advance payment, or agree an index-linked mechanism referencing a published benchmark with a stated review frequency and cap.
Who should perform pre-shipment inspection?
An independent third-party inspector nominated in the contract, with sampling method, test standard and certificate finality stated. A supplier's own certificate of analysis is a starting point, not an inspection.
What payment terms are normal for first-time suppliers?
